The Board comprises the Chairman/Managing Director and 5 other Directors with wide corporate business expertise. The Board is responsible for strategic direction of the group.

The Chairman/Managing Director and 3 Directors from the Executive Committee, which regularly deliberates on the strategies and also monitors performance against the objectives and targets. The CEO, Head of Finance and the Regional Managers assist this committee.

With the guidance of the Executive Committee, Regional sub-committees meet regularly to plan the implementation of the strategies and to monitor the performance. Three regional committees directly overlook operations of Northern Region, Southern Region and Central Region of the company. These regional committees are headed by the Regional Managers of respective regions and consisted of the heads of production, engineering and accounting units in the regions. Wherever required CEO, Head of Finance and Chief Internal Auditor sit in the regional committees on invitation to augment them. Regional performance is monitored and assessed on a monthly basis by the Executive Committee.

The Executive Committee regularly and as and when required invites and receives reports from independent consultants on areas such as internal audit and controls, Marketing, Information, Technology, Product Development, Human Resource Development and Legal.

The Chairman/Managing Director and 2 other Directors comprise the Audit Committee. The CEO and the Chief Internal Auditor assist this committee. All units of the Company are subjected to several regular and surprise audit checks and verifications. The objective is to ensure that proper systems are in place to avoid and prevent misappropriations and waste. The Internal Audit Department submits regular reports to the committee.
